What am I missing here?

Bring up an image in PS that's in prophoto or aRGB.

Select sRGB as your proof and select Proof Colors.  On mine, I now see a slight shift, primarily a desaturation.

Now turn off proofing.

Convert the image to sRGB.

On mine, I barely notice a thing, certainly NOTHING like the proof effect.

Why are they not both rendering the same effect?

This usually happens when you have 'preserve RGB numbers' selected.

When you initially set up your Custom Proofing Conditions what options do you have set?

I noticed that for my system (mac CS3) that the following conditions are true;

Device to Simulate: sRGB IEC61966-2.1
Preserve RGB numbers = Off
Rendering Intent: Relative Colormetric
Black Point Compensation: Activated

For the 'Convert to Profile' settings

Source Profile: Prophoto RGB
Destination Space Profile: sRGB IEC61966-2.1
Conversion Engine: Adobe(ACE)
Intent: Relative Colormetric
Black Point Compensation: Activated

Lastly, my monitor is calibrated (i1), Working colorspace is Prophoto RGB

Ah ha!  I know I had that unchecked as usual in CS2, I never checked it in CS3, but that was it!
